our average minter and proposed future minter
"but decentralized"
it can't be a shitty version of something that already exists
i was talking to @[6529Guardian] and if we do something that is non-symbolic
look we have to think big
if we can point to "this thing here in the physical world is literally controlled legally and operationally by TDH"
much more tangible
that it will make the "we are building a network state"
I think but we can discuss
anyway
but obviously our goal should also be that meme cards grow dramatically
the backup answer is nextgen
inshallah there is demand and we will figure out how to mint NFTs
whatever we will figure that out
philadelphia liberty bell concept or whatever
so the first one needs to be something symbolic
without first knowing that the mechanism works
but i do not want to raise any serious amount of money
the invisible hand of adam smith will tell us if this is a good idea
$10M buys you a well structured compound in France/Italy/Spain
is that worth $10M? I dunno, we will see
real estate is very expensive to build and to maintain
the purpose of the first one is to prove the concept to see if you can then go raise $10M to do something remotely interesting
and obviously with six figures the thing you can do is "not much"
we need to have a proof of concept that it is workable
nothing, I want to prove it can be done and only the USA has something as clean as the DUNA I think
Curious what you are thinking we could do with the first real estate project and why you want to start in the US?
12/ i think this is a primitive i have not really seen done this way
11/ this for me is the parallel to the network museum, we can hold on-chain assets as TDH and real world assets as TDH and of course the museum at a future state if and when it wants its own physical assets (I would not be in a rush for this, we have the advantage of being onchain and online) can use the DUNA, make its own etc
10/ But we will only know if and when we try, so we will try
9/ Main issues are going to be banking and other real estate logistics - title insurance etc, but I think if we are paying upfront (no mortgage) two levels down the chain I think it probably will be OK
8/ in terms of money, well we have to raise it, mint it etc. doing even the most minor proof of concept of buying real estate will be a mid-six figures project regardless, so of course we will pay for advisor fees etc
in principle, we can have many DUNAs
it is a different approach
7/ The UNI/Shape/etc DUNAs are for the protocol/foundation etc. ours is NOT for that. Ours is for projects in the physical world
6/ then the C-corp can make subs etc
5/ then the DUNA will form a C-corp (a regular corporation) so that there is a taxpayer in the USA and this should block any tax liability flowing to any of us
4/ The members are like a members in a partnership, limited partners, the important thing is they have legal liability protection from the activities of the DUNA, like shareholders in a company
3/ we will add a step that you can opt-in to membership for people who do not want to do it, so long as we get 100, we are good to go; we need to aim for 300+
2/ the DUNA is magic, it is exactly what we need. You can create membership with an onchain metric which we are going to do as TDH
A Wyoming DUNA is a legal wrapper for a DAO or decentralized network: Decentralized Unincorporated Nonprofit Association.
The point is simple: it gives a decentralized group a recognized legal body without turning it into a normal company, foundation, or LLC. Under the Wyoming statute, a DUNA must have at least 100 members, a common nonprofit purpose, and an election to be governed by the DUNA act. (Justia Law)
What it does:
1. Creates legal personhood
The DUNA is treated as a legal entity separate from its members for contract and tort liability. (Justia Law)
2. Limits member liability
Members are not personally liable merely because they are members, administrators, or participants in governance. (Justia Law)
3. Lets the network own things
It can hold real property, personal property, digital assets, contracts, trust interests, etc. (Justia Law)
4. Lets the network sue, be sued, and contract
It can appear in court or arbitration in its own name. (Justia Law)
5. Recognizes on-chain governance
Its governance can run partly or wholly through distributed ledger technology, including smart contracts and token-based voting procedures. (Justia Law)
6. Keeps it nonprofit in purpose, not necessarily non-commercial
A DUNA can make profits, but those profits must support the common nonprofit purpose. It generally cannot pay dividends or distribute profits to members, though it can pay reasonable compensation, reimburse expenses, confer purpose-aligned benefits, and repurchase membership interests if allowed. (Justia Law)
For a decentralized museum/network/property context, the appeal is: the network can have a native legal body that owns real-world assets, signs contracts, hires people, pays taxes, receives donations, holds IP or NFTs, and limits ordinary member liability, while governance can still be mediated through tokens, proposals, smart contracts, or other decentralized procedures.
The caveat: it is not magic. Securities law, tax classification, sanctions/AML, fiduciary duties for administrators, property law, and recognition outside Wyoming still need separate structuring. But as a base entity form, it is one of the cleanest U.S. legal shells for a serious DAO-like organization.
1/ Wyoming allows you to form a DUNA - Decentralized Unincorporated Non-Profit Association
it goes something like this
but I think we have a workable structure now
it has taken us a bit to get all the parts sorted out in our heads
so this is the exact equivalent to the 6529 Network Museum, but for real property (and subsequently any other real world assets including companies)
specifically how we can own real property with TDH as a network, just like we can own NFTs as a network with TDH - for organizational reasons, I will say more about that over there
and we will be proposing the way forward via a Meme Card soon
BTW, I think @[6529Guardian] and I have cracked this

and then we take the next step
